Terms of Service for Aquila Labs Virtual Coworking Space


Aquila Labs is a purpose-built online co-working accelerator designed for entrepreneurs, digital investors and online business owners who want to grow their skills, network and businesses. It provides a virtual office platform with moderated events, networking, co-working, support and social activities that encourage achievement and connection.

1. Introduction


Welcome to Aquila Labs (“the Labs”), a virtual coworking space and accelerator lab hosted on a virtual office platform. These Terms of Service ("ToS") govern your access to and use of our services, including our virtual workspace, events, and community features. By accessing or using Aquila Labs, you agree to be bound by these Terms. Aquila Labs is run by the eBusiness Institute Pty Ltd. Any reference to Aquila Labs, “we”, ”our”, “us”, “Co-Working Space Providers” or similar words throughout this agreement includes Aquila Labs and the eBusiness Institute Pty Ltd and its directors, employees, agents, coaches, presenters, admin, associates, successors and assigns.  

2. Membership, Services and Amenities

Membership is by application only. We reserve the right to refuse access to unsuccessful applicants without any obligation to explain why the application was unsuccessful. Aquila Labs provides the following services and amenities (“the Services”). The Services are subject to the ToS at all times.


●     Virtual Workspace: Access to a virtual office platform with private office space, meeting rooms, coworking spaces, events and networking spaces.

●     Events: A calendar of events to support connection, productivity and business growth, including coworking clubs, accountability and focus sessions, professional development sessions, knowledge share sessions, tech help sessions, networking sessions, celebration sessions, and games nights. We reserve the right to alter, add or remove these events and their scheduled times as the Labs evolve and grow.

●     Community: Access to a curated community of like-minded individuals. Entry is by application only and every member must be approved by an administrator to be granted membership and access.

3. Invoicing And Payment


Membership is charged in monthly or annual blocks. After each 12 month block your membership will be automatically renewed for another 12 month block unless you advise otherwise. We will contact you prior to renewal to notify you of the upcoming payment and give you the option of 12 month renewal or ongoing monthly payments. If you choose to pay monthly your credit card on file will be automatically debited or you will be automatically invoiced each month in advance in perpetuity based on your membership option. Payment is required at the beginning of the month for that period. Founding member discounts only apply to continuing membership. If you cancel, when you rejoin you will be charged at the current market rate.

4. Renewals and Termination


This Agreement is automatically renewed at the end of each period with the consent of each party.

Failure to follow the ToS can result in non-renewal or even early termination of your license to access The Labs. Aquila Labs reserves the right to terminate your access to any part or the whole of the Services at any time, immediately and without notice, if you fail to comply with the ToS for any reason. This includes non-payment or violation of The Labs Participation Rules and Code of Conduct. If this happens, Aquila Labs will refund any amounts paid for unused periods that remain after deducting any pending charges, on a prorated basis.

Aquila Labs reserves the right to close access to Aquila Labs and its website and the related services or any portion of it at any time. If a permanent closure of Aquila Labs is contemplated, notice will be provided to all Members and access will cease on the last day of Membership of the Member with the longest remaining paid period of Membership.

You may terminate this Agreement by giving a written notice of termination via email to [email protected]. Termination will take effect at the end of your payment period, whether monthly or annually. If you do not provide timely notice of termination to Aquila Labs then your membership will continue to the end of your next billing period and the membership fee for that period will remain payable.

You may alter your membership from annual to monthly at any time by notice via email to [email protected], and that change will take effect in the first month following the end of your annual membership.

5. The Labs Participation Rules and Code of Conduct

All Members must abide by the following rules and code of conduct when participating in the Labs:


●     Respect: Be respectful of others' time, space, and journey.

●     Positive: Be supportive, positive, and encouraging, celebrate success.

●     Kindness: Be kind and courteous, involve others in discussions and networking.

●     Openness: Be willing to listen to others.

●     Solutions-Oriented: Focus on solutions and seek to get your questions answered constructively.

●     Active Participation: Contribute to the group, take on challenges, make mistakes, and encourage others to do the same. Allocate time to be in the Labs every week and come prepared to participate.

●     Privacy and Confidentiality: Keep what's shared in the group private - see [link to privacy policy]. Don't post others' personal information without permission. Respect the privacy of other Members and keep communications within the Labs unless given permission by another Member to communicate with them outside the Labs, eg. via phone, social media or email.

●     No Self-Promotion: No promotion of products or courses, including your own, unless approved by management and presented in a moderated session. This doesn’t stop you talking about what you do; it is designed to stop you using Aquila Labs to attempt to sell (for payment or otherwise) your products or services to other participants who are not there for that reason.

●     No bullying: no degrading comments about race, religion, gender, politics, or identity, no hate speech, harassment or conspiracy theories

●     Reporting: Report negative behaviour so we can resolve issues.

6. Use Of Services


You agree that when participating in or using the Services, you will not:


· Engage in any unlawful or immoral acts, or acts which are in violation of these Terms.

· Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others;

· Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information on or through Aquila Labs servers.

·  Solicit for clients or profiteer from our community or database of clients. This includes recommending or enticing clients to other courses, products or privately coaching our clients from our Aquila Labs and E-Business Institute database, unless approved by the management.

· Use Aquila Labs or its website as a lead generation tool for the benefit of your own business, or to manufacture lists or contacts in order to help your own business. Nor harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party

· Engage in any internal or external spamming, or other similar actions.

· Use the Services in connection with contests, pyramid schemes, chain letters, junk email, spamming, or any duplicative or unsolicited messages (commercial or otherwise);

· Share anything taught or shared in Aquila Labs outside of the Aquila Lab community (unless approved by the management)

· Decompile, reverse engineer, or try to copy or imitate the Aquila Labs co-working space, calendar of events, website or underlying content

· Use our copyright material for commercial profit of any sort upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as a limitation, copyright, trade mark laws (or by rights of privacy or publicity) unless you own or control the rights to that material or have received all necessary consent to share it or make it available to others.

· Use any material or information, including images or photographs, which are made available through the services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary rights of any party;

· Download any file that you know, or reasonably should know, cannot be legally reproduced, displayed, performed, and or/distributed in such manner.

· Upload files that contain viruses, Trojan Horses, Worms, time bombs, candle-bots, corrupted files, or any other similar software or programs that may damage the operation of another computer or property of another coworker.

· Restrict or inhibit any other user from using and enjoying the Services.

· Violate any applicable laws or regulations; or

· Create false identities that mislead others.

7. Confidentiality


You acknowledge and agree that during your participation in and use of the Services, you may be exposed to Confidential Information. “Confidential Information” means all information, in whole or in part, that has been disclosed by Aquila Labs or any Member or any employee, affiliate, or agent of Aquila Labs, that is non-public, confidential, or proprietary in nature. Confidential information also includes, without limitation, information about business, sales, operations, know-how, trade secrets, business affairs, any knowledge gained through examination or observation of or access to the Lab, computer systems and/or books and records of Aquila Labs, any analyses, compilations, studies or other documents prepared by Aquila Labs or otherwise derived in any manner from the Confidential Information that you are obliged to keep confidential or know or have reason to believe should be treated as confidential.

Your participation in and/or use of the Services obligates you to

●     Maintain all Confidential Information in strict confidence;

●     Not to disclose Confidential Information to any third parties;

●     Not to use the Confidential Information in any way directly or indirectly determined to Aquila Labs or any participant or user of the Services.

All confidential information remains the sole and exclusive property of Aquila Labs or the respective disclosing party. You acknowledge and agree that nothing in this ToS or your participation or use of the Services will be construed as granting any rights to you, by license or otherwise, in or to any Confidential Information or any patent, copyright, or other intellectual property proprietary rights of Aquila Labs or any participant or user of the Services.

8. Dispute Resolution


In the event of a dispute between members or between a member and the management that cannot be resolved directly, the member may raise the concern with the community manager, who will facilitate a private meeting with the involved parties to discuss the issue, aiming to reach a mutually agreeable solution through active listening and open communication. If necessary, the community manager may involve a neutral third party as a mediator to help guide the discussion and reach a resolution that preserves positive working relationships within the Labs.

9. Responsibility & Disclaimer


 ●     You agree to keep your Aquila Labs username and password secure and not to share access to the Aquila Labs website with anyone who is not a member.

●     You agree that the Co-Working Space Providers and other members of Aquila Labs are not responsible for any success or failure that you may have as a result of this agreement or your participation as a member of Aquila Labs.

●     You acknowledge there is no “success guarantee”. The results of every member will vary depending upon their personal participation. You understand that your individual success will be determined by your own desire, dedication, effort and motivation to work on your own projects or business.

●     You agree not to hold the Co-Working Space Providers, and other members of Aquila Labs liable or accountable in any way for any failure of the service to live up to your expectations.

●     You acknowledge that the Co-Working Space Providers are not qualified to provide legal, tax, accounting, or financial advice, and the information provided to you by the Co-Working Space Providers is not intended as such. You agree to refer all legal, tax, accounting, or financially related enquiries to appropriately qualified professionals.

●     All information including material as referred to or provided to you by the Co-Working Space Providers has been obtained by the Co-Working Space Providers solely from their own experience as business owners and is referred to or provided as general information only, which: - will require further research to identify its application to your specific requirements - dependent on your further research, will require modification to appropriately apply to your specific requirements - is referred to or provided by way of example only and is not intended to be nor is it acceptable as specific business or investment recommendations or advice for you.

●     You commit to undertake careful and competent due diligence from independent sources before taking any action or inaction as a consequence of information gained through Aquila Labs ●     You acknowledge that as with any business endeavour there is an inherent risk of loss of capital and there is no guarantee that you will earn any money as a result of your participation in Aquila Labs. You agree that any information shared by the Co-Working Space Providers is one of the many learning tools that you may require when participating in your own business.

●     Aquila Labs does not guarantee any services or information provided by third party suppliers or guest speakers referred to you by us and we are not responsible for any services contracted or provided by third party suppliers.

Release


You release forever the Co-Working Space Providers from all and any responsibility or liability for any losses claims or demands that may directly or indirectly occur as a result of you using the information obtained through Aquila Labs for any business or investment or other purposes, to the fullest extent permissible by law.

Disclaimer of Warranties


Aquila Labs provides the services "as is" and disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the full extent permitted by law. You agree that no information or advice provided by us constitutes financial, tax, legal or medical advice, or advice of any other regulated industry and users should not rely exclusively on any such information or advice.

Limitation of Liability


Neither Aquila Labs nor any other member will be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services.

Indemnification

You agree to indemnify and hold Aquila Labs harmless from any claims, losses, or damages arising out of your use of our services or violation of these Terms.

Links Disclaimer

We have no control over any information accessed through links from our site. You use links at your own risk.


Continuing Obligations

The rights and obligations of the parties that, by their nature, would continue beyond the expiration or termination of this agreement (eg. "Responsibility & Disclaimer" and “Confidentiality”) related clauses shall survive such expiration or termination of your use of Aquila Labs and or the Services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Queensland Australia.

10. Privacy Policy

Personal information is information that would identify you, or from which you can be identified. It is important to us to protect your personal information. We don’t give it away or sell it and we have systems in place to protect it.

Collection

We collect personal information about you when you give it to us, usually when you complete one of our forms, whether hard copy or online. We don’t collect your information from anywhere or anyone else.

We may also use ‘cookies’ so that you can customize our web pages or so that you do not have to keep filling in your details repeatedly. If you want to find out more about ‘cookies’ and how they work, we suggest you look up Wikipedia.

Use

We use your personal information to provide you with our services and in an effort to tailor your experience of our products and services specifically for you.

Disclosure

We don’t give away or sell your personal information. We will disclose your personal information if we are legally compelled to. Your personal information has been collected by a business and if that business is ever sold in the future, your personal information may be passed to the new owner.

We might use another provider to deliver our products or services to you. If they need your personal information to complete that delivery we will require them to use your information only for that purpose and then destroy it.

Links and Public Forums

We have no control over the information accessed through links from our site. You use links at your own risk.

If you post your personal information in a membership blog or public forum, we have no control over how it is used and no responsibility to protect it for you.

Entire Agreement

These Terms constitute the entire agreement between you and Aquila Labs regarding your use of our services.
